Acceptance of these terms
These terms are publicly available at raven3.com.ar. By approving a quote, confirming a proposal by email or WhatsApp, engaging a service, or making a payment, the client acknowledges having read, understood, and accepted these terms, even without an additional handwritten or digital signature.
If a commercial proposal or specific quote includes particular conditions, those particular conditions will prevail over these terms to the extent applicable.
Quotes
1. Scope and validity
- Each quote details the scope, deliverables, estimated timeline, and costs of the project or service.
- Unless stated otherwise, quotes are valid for 15 calendar days from their issue date.
- Once that period expires, Raven3 may update pricing, scope, or schedule.
2. Scope changes
- Any requirement not originally contemplated is considered a scope change.
- Scope changes may result in adjustments to price, delivery timelines, or both.
3. Recurring services
- For monthly or recurring services, the specific tasks, frequency, and working arrangement will be described in the corresponding proposal or commercial agreement.
- Raven3 may update pricing for recurring services with reasonable prior notice.
Payment for services
1. Currency and payment methods
- Amounts may be expressed in Argentine pesos (ARS), US dollars (USD), or the currency specified in the commercial proposal.
- Available payment methods will be communicated by Raven3 at the time of engagement.
2. Invoicing
- Raven3 will issue the corresponding invoice according to its current tax status.
- To be invoiced, the client must provide the necessary tax information accurately and up to date.
3. Deposits and balance
- Unless a different arrangement is agreed, development projects begin with a 50% deposit.
- The remaining 50% is due upon delivery, launch, or the final milestone defined in the quote.
- Raven3 may withhold final publication, access credentials, editable files, or technical handoff until the outstanding balance has been paid in full.
4. Monthly services
- Recurring services are billed in advance, unless otherwise agreed.
- Continuity of service is subject to payment within the applicable billing period.
Project timelines
- Timelines stated in quotes and proposals are counted in business days, unless expressly stated otherwise.
- The schedule begins once the deposit and all materials minimally necessary to start the work have been received.
- If the client delays deliveries, approvals, content, access, or decisions, timelines may be rescheduled.
- Raven3 is not responsible for delays caused by third parties, platforms, providers, external approvals, or the client's lack of response.
Cancellation, suspension, and refunds
1. Projects
- The client may request cancellation of the project at any time.
- If work has already begun, Raven3 may retain all or part of the deposit based on hours worked, tasks completed, schedule blocking, and costs already incurred.
- If the project is substantially advanced or completed, Raven3 may require payment of the proportional or total outstanding balance based on the actual state of the work.
2. Recurring services
- To cancel a monthly service, the client must give at least 15 calendar days' notice before the next billing cycle, unless a different notice period has been agreed.
- Amounts already paid for periods in progress are non-refundable, except by express agreement.
3. Third-party services
- Payments for domains, hosting, platforms, licenses, plugins, apps, integrations, or third-party services are non-refundable once purchased or activated.
Late fees and overdue payments
- Raven3 may apply late fees on overdue balances if the client fails to pay within the agreed period.
- A project may also be re-quoted if it remains paused due to the client's inaction for an extended period and the client later requests to resume it.
- In the event of non-payment, Raven3 may suspend tasks, support, maintenance, publication, or access to deliverables until the account is brought current.
Notices and service suspension
- Raven3 may send payment-due reminders by email, WhatsApp, or other channels provided by the client.
- Failure to pay within the applicable period may result in suspension or termination of the service.
- For services that depend on third-party renewals, non-payment may cause interruptions, expiration, or loss of features managed by external providers.
General terms
1. Ownership of client content
- The client represents that it holds sufficient rights over any text, images, video, trademarks, logos, databases, and other materials it provides to Raven3.
- Raven3 is not responsible for third-party claims arising from the use of material supplied by the client.
2. Credits and portfolio use
- Raven3 may include a discreet credit on the developed site, unless otherwise agreed.
- Raven3 may showcase the project in its portfolio, case studies, sales presentations, or social media, unless a confidentiality agreement prevents it.
3. Confidentiality
- Raven3 agrees to treat sensitive information received from the client as confidential, including access credentials, internal documentation, and non-public materials.
4. Limitation of liability
- Raven3 provides professional design, development, implementation, and consulting services, but does not guarantee specific commercial outcomes, particular search engine rankings, or exact volumes of traffic or sales.
- Raven3's total liability for any claim is limited to the amount actually paid by the client for the service in question.
Warranty on work performed
- Raven3 provides a limited warranty covering technical defects attributable to the development work performed, for the period stated in the commercial proposal or, absent such a term, for a reasonable period following delivery.
- The warranty covers defects in the original implementation, but does not cover new features, scope changes, content uploads, third-party interventions, or issues caused by external platforms.
- If the client or a third party modifies the code, configuration, or infrastructure without Raven3's involvement, the warranty may become void.
Domain registration and management
- Domains are renewed according to the applicable registrar's policies and pricing.
- Registration, delegation, DNS propagation, or validation timelines depend on third parties and may vary.
- Once a domain is registered, changes to its name, extension, ownership, or provider may be subject to the registrar's restrictions.
- Raven3 may manage domains on the client's behalf using the information provided by the client.
Hosting, corporate email, and infrastructure
- Hosting, email, CDN, cloud platform, or third-party infrastructure services are subject to the availability, policies, and limitations of their respective providers.
- The client agrees to use these services lawfully and responsibly.
- Using the infrastructure for illegal activity, malware distribution, spam, phishing, abusive content, or any use that compromises the security or reputation of the service is not permitted.
- In the event of misuse, Raven3 may immediately suspend the associated administration or support.
